01. Acceptance & Technology Service Provider (TSP) Model
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Participant", or "Member") and Flenbox Technologies Private Limited ("Flenbox", "Company", "We", "Us", or "Our"), CIN: U62099MH2026PTC465568, registered in Mumbai, Maharashtra, India.
By accessing flenbox.in, downloading our mobile or web applications, completing registration, or enrolling in a collaborative goal cohort, you signify that you have read, understood, and agreed to be bound by these Terms.
Technology Service Provider Nature: Flenbox provides software orchestration, cryptographic verification, and AI matching algorithms. Flenbox is NOT a bank, NBFC, deposit-taking institution, payment aggregator holding settlement capital, or traditional chit fund foreman.
02. Statutory Zero-Yield & Non-Deposit Disclaimer
To ensure full compliance with the Reserve Bank of India Act, 1934 (Section 45-I(bb)) and the Banning of Unregulated Deposit Schemes Act, 2019 (BUDS Act), you explicitly acknowledge and agree that:
- Zero Yield / Zero Return: Flenbox does not provide, promise, advertise, or generate any fixed interest, assured return, market yield, or financial dividend.
- Pure Time Leverage: The protocol operates on closed-loop mathematical time-leverage among verified peers. Total input equals total distributed output (zero-sum conservation).
- Not a Deposit Scheme: Flenbox does not accept deposits from the public. Funds remain in your own commercial bank account or digital currency wallet at all times.
- Not a Lending Platform: Mid-cycle milestone draws execute at neutral mathematical par (±0.5% differential) without compound interest, loan agreements, or usurious debt charges.
03. User Eligibility & KYC Verification
Participation in any Flenbox cohort is subject to satisfying the following statutory criteria:
- You must be a citizen or resident of India and at least 18 years of age.
- You must hold a valid Permanent Account Number (PAN) and Aadhaar card issued by the Government of India.
- You must possess an active retail Central Bank Digital Currency (e-Rupee) wallet or bank account with a designated partner Scheduled Commercial Bank in India.
- You must successfully complete paperless identity verification (e-KYC) and fraud screening via our authorized bank integration partners.
04. Cohort Mechanics & Three Milestone Paces
Each cohort consists of 10 verified members committing an identical monthly contribution over a 10-month continuous cycle:
- Commitment Obligation: You agree to maintain sufficient funds in your linked bank wallet and approve automated smart locks on the designated monthly due date.
- Pace 1: Early Milestone Liquidity (Months 2–4): Members who choose early milestone funding receive 8.2x–8.6x of their monthly commitment upfront, saving on predatory loan EMIs (18–36% APR), and surrendering a transparent scheduling discount to the cohort pool.
- Pace 2: Mid-Cycle Neutral Par (Months 5–6): Members who access milestone funds around Month 5–6 operate at neutral parity (+0.5% to -0.5% net differential) with zero interest and zero debt stress.
- Pace 3: Patient Milestone Completion (Months 7–10): Members who wait receive 100% of their accumulated goal, their proportional share of early surrendered pool surplus, wholesale brand voucher discounts (5–15% bonus purchasing power), and Flencoins rewards.
05. Non-Custodial Bank Escrow & Sovereign e₹ Execution
All disbursements and contributions execute programmatically on the Reserve Bank of India retail digital currency (e-Rupee) infrastructure:
- Flenbox never commingles, aggregates, or holds user funds in corporate operating accounts.
- Disbursements occur directly from member bank wallets to verified recipients via cryptographic smart-lock conditions.
- A sovereign private EVM audit trail maintains an immutable, double-entry Merkle-root record of every transaction, ensuring mathematical solvency and dispute transparency.
06. Punctuality, Defaults & Dispute Remediation
Because collaborative cohorts rely on peer discipline, strict protocols govern non-performance:
- Grace Period: A 72-hour automated grace period applies for failed wallet debit attempts due to technical bank outages.
- Behavioral Score Impact: Uncured missed commitments result in immediate reduction of your behavioral trust score, restricting access to higher future goal tiers.
- Smart Recovery: If an early liquidity recipient defaults on subsequent monthly obligations, the protocol executes automated bank lien instructions and reallocates recovery shares according to the closed-loop contingency framework.
- Disenrollment: Persistent bad actors are permanently suspended and reported in accordance with applicable financial reporting standards.
07. Platform Fees & Statutory Taxes
Flenbox charges a transparent, nominal platform enrollment fee and wholesale brand conversion fee. All platform fees are subject to 18% Goods and Services Tax (GST). Where applicable under Section 194R of the Income Tax Act, 1961, mandatory TDS is programmatically computed and remitted to the tax authorities on net surplus distributions exceeding ₹5,000 annually.
08. Intellectual Property & Restrictions
All software code, AI behavioral matching models, user interface designs, trademarks ("Flenbox", "Financial Aazadi"), logos, and documentation are the exclusive intellectual property of Flenbox Technologies Private Limited. You are granted a limited, revocable, non-exclusive license to use the platform solely for personal, non-commercial collaborative savings.
09. Limitation of Liability
In no event shall Flenbox Technologies Pvt Ltd or its directors, officers, or employees be liable for any indirect, consequential, or exemplary damages, or for losses arising from Scheduled Commercial Bank downtime, RBI CBDC central rail maintenance, or telecommunication failures beyond our reasonable control.
10. Governing Law & Exclusive Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to submit to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
